What you should know about business & commercial law

Start small, structure well

A limited-liability company (S.r.l.) can be formed with very low share capital, but the articles of association and any shareholder agreement deserve careful drafting from day one.

Shareholder agreements have limits

In a joint-stock company (S.p.A.), shareholder agreements can last at most five years (Article 2341-bis of the Civil Code), so renewal needs planning.

Model 231 protects the company

Companies can be held liable for certain offences committed in their interest by managers or employees (Legislative Decree 231/2001). An effective compliance model can exclude or reduce that liability.

Put it in writing

Clear general terms, payment conditions and governing-law clauses prevent most commercial disputes before they start.
